Ahh, that's what confused me. It's not Window XP Classic, it's just Windows XP. I'd be very surprised if this has anything to do with Fusion at all - more likely a windows bug.

It looks like the new Certificate was issued by a CA that is not trusted by the VMware Workstation default CA package. A quick Wireshark trace identified that the Certificate handshake was coming back...
