VMWare Fusion 5 Mountain Lion upgrading question

I recently upgraded my MacBook Pro to Mountain Lion and my current version of Fusion is 3.1.3, which I know does not work under Mountain Lion.

 

Our IT Dept have downloaded Fusion 5 today, and I was about to intall it when I read the instructions noticed that I should have the VM shut down and not suspended.

 

My problem is that when I use my VM, I suspended it when not in use to speed things up. However, I cannot remember if I shut it down last time I used it.

 

Is there anyway of checking if it is shut down, and if it it isn't is there anyway that I can shut it down without running Fusion.

 

What would happen if I went ahead and upgraded to Fusion 5?

 

Your help would be much appreciated.
